Salesforce Bets $5.66B on Braze Acquisition to Expand AI-Powered Customer Engagement

    Key highlights:

    • Salesforce agreed to acquire Braze for ~$5.66B, adding real-time cross-channel customer engagement and BrazeAI to Salesforce’s Marketing Cloud, Data 360, and Slack platforms
    • Braze serves ~2,770 customers (Canva, Instacart, Venmo), with revenue doubling over 3 years to $738M, expected to exceed $1.2B by fiscal 2029, though the deal values Braze at ~60x forward earnings.
    • The acquisition follows Salesforce’s $3.6B FinAI agent deal and $8B Informatica acquisition in 2025, signaling continued AI-driven consolidation with Jefferies maintaining a Buy on CRM ($300 target)

Salesforce has agreed to acquire cloud software company Braze for approximately $5.66 billion, sending Braze stock soaring 51% after the announcement as investors reacted to the $47.50-per-share cash offer.

The deal values Braze at an enterprise value of about $5.66 billion and represents a premium of approximately 58.1% to its previous closing price of $30.04.

The acquisition would strengthen Salesforce’s customer engagement business with technology designed to deliver personalized marketing messages across digital channels in real time.

It would also bring Braze’s AI-powered tools closer to Salesforce’s existing customer relationship management (CRM), marketing, and data platforms as businesses increasingly use artificial intelligence to tailor interactions to individual customers.

Braze’s board unanimously approved the agreement, while co-founders Bill Magnuson and Jon Hyman, alongside Battery Ventures’ Neeraj Agrawal, agreed to vote their shares in favor of the transaction under a voting agreement.

Braze provides tools that help businesses personalize customer interactions across mobile applications, websites, SMS, email, WhatsApp, and other channels.

Its event-streaming architecture processes customer activity in real time, maintains up-to-date customer profiles, and coordinates large volumes of messages and customer journeys. Its BrazeAI suite also helps businesses optimize message content, delivery channels, offers, and timing.

The company’s revenue more than doubled over three years to $738 million for the fiscal year ended January 2026, with analysts expecting it to exceed $1.2 billion by the fiscal year ending January 2029.

However, the acquisition comes at a substantial valuation, with the $47.50 offer representing nearly 60 times Braze’s expected earnings over the next 12 months.

How Salesforce plans to integrate Braze’s customer engagement technology

Salesforce expects Braze’s technology to strengthen Data 360, Marketing Cloud, Slack, and other parts of its Customer 360 platform, giving businesses more ways to combine customer data with real-time marketing campaigns across digital channels.

The deal would add a real-time engagement layer to Salesforce’s existing customer relationship management tools, helping brands respond to customer behavior with more personalized messages, offers, and recommendations.

Futurum Equities chief market strategist Shay Boloor described Braze as a capability Salesforce’s marketing business has historically lacked.

Notably, Braze serves approximately 2,770 customers, including Canva, Instacart, Venmo, Dairy Queen, and Urban Outfitters.

Its expertise in mobile engagement and data engineering could help Salesforce expand its reach among marketers seeking to coordinate customer interactions across multiple platforms.

Braze CEO and co-founder Bill Magnuson said the company would continue investing in its products and customer community following the acquisition. He added that Salesforce’s platform could help Braze innovate faster and enable marketers to build stronger customer relationships.

Both companies also intend to maintain a flexible, open approach to customers’ data and tools, although the precise integration plans will become clearer as the transaction progresses.

The acquisition fits into Salesforce’s broader push to expand its artificial intelligence capabilities. The company signed a $3.6 billion deal for AI agent platform Fin earlier in 2026 and agreed to acquire Informatica in an $8 billion transaction in 2025.

The Braze acquisition is expected to close in Salesforce’s fiscal 2028, subject to shareholder and regulatory approvals.

Salesforce does not expect the transaction to change its fiscal 2027 financial forecast. Under the agreement, Salesforce would pay a $300 million termination fee if it abandons the deal under specified circumstances, while Braze would owe $191.4 million if it terminates the agreement under applicable conditions.

Salesforce-Braze deal could trigger a wave of software takeovers

The Salesforce-Braze deal could indicate further consolidation across the marketing technology sector as software companies seek to strengthen their AI and customer engagement capabilities.

CCC Intelligent Solutions agreed to a $6.1 billion cash buyout led by GTCR and Elliott Investment Management, while Proofpoint agreed to acquire Varonis Systems in a $6.3 billion all-cash deal. Both transactions would take the companies private.

Jefferies maintained its Buy rating on CRM stock with a $300 price target, arguing that Braze could refresh its marketing and commerce offerings and strengthen its position in business-to-consumer engagement against competitors such as Adobe.

However, the acquisition could increase pressure on Twilio by giving Salesforce more customer engagement capabilities and potentially reducing its reliance on external messaging providers.

Investor reaction to the deal remained mixed. Stocktwits reported neutral retail sentiment toward Salesforce, alongside an 820% increase in message volume over 24 hours. Some users viewed the acquisition as evidence that major software companies are turning to acquisitions to expand their AI capabilities, while others argued that software stocks remain undervalued despite market pressure in 2026.
